Summary

Eneco Group agrees to acquire the Dutch sales and supply activities of Uniper Benelux. The agreement to that effect was signed by both companies. Uniper operates on the Dutch energy market under the brand name E.ON. In accordance with the agreement, E.ON Benelux 200,000 consumer and business customers in the Netherlands will become Eneco customers. The acquisition offers Eneco opportunities for growth in the area of sustainable energy and innovative energy services.

Kees-Jan Rameau, Chief Strategic Growth Officer of Eneco Group: "This acquisition is in line with our strategy to expand our customer base and achieve growth in the area of sustainable energy and innovative energy services. In addition to green power, our customers also expect to have the means to take control over their own energy, as they are already able to do with products such as the Toon thermostat, the smart charging app developed by Jedlix or a home battery in combination with solar panels. This step allows us to help even more people to save energy and increase sustainability."

Hans Schoenmakers, Managing Director of Uniper Benelux: “The disposal of the supply activities in the Netherlands is in line with Uniper's strategy to increase the focus on its core business, which is to produce energy and to guarantee the continuity of supply through reliable power generation and innovation. We believe that the sale of the supply activities to Eneco is a good opportunity to give our customers in the Netherlands control over their sustainable energy in the best possible manner, now and in the future."

Customers
In the short term, there will be no changes for E.ON Benelux customers: the terms of their contracts and rates will stay the same. However, in time, they will become customers of Eneco. This will allow them to further increase the sustainability of their energy consumption or save energy by means of the energy services and products provided by Eneco, such as Hollandse Wind energy, the smart Toon thermostat or a home battery.

Employees
There will also be no changes in the near future for the approximately 200 Uniper employees, most of whom are located in Eindhoven. In the coming period both companies will assess how the activities can be merged.

The intended acquisition is subject to approval by the competition authorities. Eneco Group and Uniper Benelux do not provide any financial details regarding this transaction.
